TURTU Vendor Partnership Agreement

<h2 style="font-size:20px; font-weight:700; margin-bottom:10px;">VENDOR ONBOARDING & SERVICE AGREEMENT</h2>

<p>
                                                        This Vendor Onboarding & Service Agreement (“Agreement”) is executed between:<br>
                                                        <strong>TURTU</strong>, a hyperlocal aggregator and delivery platform operating in Belagavi, Karnataka
                                                        (hereinafter referred to as “Company”),<br>
                                                        AND<br>
                                                        <strong>Vendor</strong>, a business entity onboarded to list and sell products through TURTU (hereinafter referred to as “Vendor”).<br>
                                                        Both collectively referred to as the “Parties”.
                                                    </p>

<h3>1. DEFINITIONS</h3>
                                                    <ul>
                                                        <li><strong>Vendor:</strong> Any restaurant, cloud kitchen, mess, grocery store, pharmacy, local shop, or home baker selling through TURTU.</li>
                                                        <li><strong>Platform:</strong> The TURTU mobile app, website, backend, and digital systems.</li>
                                                        <li><strong>Products:</strong> Food, groceries, medicines, bakery goods, essentials, etc.</li>
                                                        <li><strong>Customer:</strong> End user purchasing through TURTU.</li>
                                                        <li><strong>Delivery Partner:</strong> Personnel delivering orders.</li>
                                                        <li><strong>Commission:</strong> Fee charged by TURTU.</li>
                                                        <li><strong>Settlement:</strong> Payment to Vendor after deductions.</li>
                                                    </ul>

<h3>2. NATURE OF SERVICE</h3>
                                                    <ul>
                                                        <li>TURTU acts as an aggregator and delivery facilitator.</li>
                                                        <li>TURTU does not control Vendor inventory.</li>
                                                        <li>Vendor is the seller of record.</li>
                                                        <li>TURTU manages ordering, delivery, and customer support.</li>
                                                    </ul>

<h3>3. VENDOR DOCUMENTATION</h3>
                                                    <ul>
                                                        <li>Business registration / GST</li>
                                                        <li>FSSAI license (food)</li>
                                                        <li>Drug License (pharmacy)</li>
                                                        <li>Trade License / Shop Act</li>
                                                        <li>Identity & Bank details</li>
                                                    </ul>

<h3>4. VENDOR RESPONSIBILITIES</h3>
                                                    <ul>
                                                        <li>Accurate product listing and pricing</li>
                                                        <li>Maintain hygiene, quality, safety</li>
                                                        <li>Timely order preparation</li>
                                                        <li>Proper packaging</li>
                                                        <li>Update stock</li>
                                                        <li>No expired or illegal goods</li>
                                                    </ul>

<h3>5. CATEGORY-SPECIFIC OBLIGATIONS</h3>

<p><strong>A. Restaurants / Cloud Kitchens</strong></p>
                                                    <ul>
                                                        <li>Follow FSSAI guidelines</li>
                                                        <li>Food must be hygienic & fresh</li>
                                                    </ul>

<p><strong>B. Grocery Vendors</strong></p>
                                                    <ul>
                                                        <li>Items must be fresh and within expiry</li>
                                                    </ul>

<p><strong>C. Pharmacies</strong></p>
                                                    <ul>
                                                        <li>Prescription drugs require verification</li>
                                                        <li>Comply with Drugs & Cosmetics Act</li>
                                                    </ul>

<p><strong>D. Local Shops</strong></p>
                                                    <ul>
                                                        <li>Items must match description</li>
                                                    </ul>

<p><strong>E. Home Bakers</strong></p>
                                                    <ul>
                                                        <li>Orders must be accepted/rejected within 12 hours</li>
                                                        <li>Maintain hygiene</li>
                                                    </ul>

<h3>6. DELIVERY BY TURTU</h3>
                                                    <ul>
                                                        <li>TURTU manages delivery operations</li>
                                                        <li>Vendor must prepare orders on time</li>
                                                        <li>Responsibility shifts to TURTU post-pickup</li>
                                                        <li>Vendor delays may lead to penalties</li>
                                                    </ul>

<h3>7. COMMISSION & PAYMENTS</h3>
                                                    <ul>
                                                        <li>Vendor controls pricing</li>
                                                        <li>TURTU charges a commission</li>
                                                        <li>Weekly/bi-weekly settlements</li>
                                                        <li>Deductions: commission, gateway fee, refunds, penalties</li>
                                                    </ul>

<h3>8. REFUNDS & CUSTOMER CLAIMS</h3>
                                                    <p>Refunds may be issued for:</p>
                                                    <ul>
                                                        <li>Wrong or missing item</li>
                                                        <li>Spoiled or expired product</li>
                                                        <li>Wrong medicine</li>
                                                        <li>Damaged packaging</li>
                                                        <li>Vendor delays</li>
                                                    </ul>

<h3>9. INTELLECTUAL PROPERTY</h3>
                                                    <p>Vendor allows TURTU to use brand name, logo, product images, descriptions for platform listing.</p>

<h3>10. DATA PRIVACY & CONFIDENTIALITY</h3>
                                                    <ul>
                                                        <li>Vendor cannot misuse or store customer data</li>
                                                        <li>No contacting customers outside the app</li>
                                                        <li>Business data must be kept confidential</li>
                                                    </ul>

<h3>11. INDEMNITY</h3>
                                                    <p>Vendor indemnifies TURTU for losses arising from unsafe products, expired goods, data misuse, or legal violations.</p>

<h3>12. LIABILITY</h3>
                                                    <p>TURTU is not liable for product quality or vendor non-compliance.</p>

<h3>13. TERMINATION</h3>
                                                    <p>Vendor may be suspended for illegal products, fraud, expiry violations, or misuse of data.</p>

<h3>14. GOVERNING LAW</h3>
                                                    <p>Jurisdiction: Belagavi, Karnataka.</p>

Terms & Conditions

<h2><strong>Vendor Confidentiality & Non-Disclosure Agreement</strong></h2>

<p><strong>Applicable to:</strong> Food Vendors, Pharmacy/Medicine Vendors, Grocery Vendors, Local Stores, Home Bakers<br>
                                                    <strong>Effective Date:</strong> 15 October 2025<br>
                                                    <strong>Jurisdiction:</strong> Belagavi, Karnataka</p>

<h3><strong>1. PURPOSE</strong></h3>
                                                    <p>This NDA governs the confidentiality obligations between <strong>TURTU India LLP</strong> (“TURTU”) and the Vendor (“You”).  
                                                    By using the TURTU Vendor App, you will access sensitive operational, customer, and business information.  
                                                    This agreement ensures all such information is protected.</p>

<h3><strong>2. CONFIDENTIAL INFORMATION</strong></h3>
                                                    <p><strong>Confidential Information includes but is not limited to:</strong></p>
                                                    <ul>
                                                        <li>Customer names, phone numbers, addresses, order details</li>
                                                        <li>Business insights, pricing, commissions, sales analytics</li>
                                                        <li>Vendor dashboard data, payout details</li>
                                                        <li>Product lists, recipe details (Food & Home Bakers)</li>
                                                        <li>Prescription information & medical order data (Pharmacy)</li>
                                                        <li>Inventory, stock, and vendor-specific data</li>
                                                        <li>TURTU operational processes, platform logic, and business models</li>
                                                    </ul>
                                                    <p>All information shared verbally, digitally, visually, or written is confidential.</p>

<h3><strong>3. VENDOR-SPECIFIC OBLIGATIONS</strong></h3>

<p><strong>3.1 Food Vendors</strong></p>
                                                    <p>Must protect customer preferences, order history, recipe data, and operational instructions.</p>

<p><strong>3.2 Pharmacy/Medical Vendors</strong></p>
                                                    <p>Must protect prescription details, patient data, and medicine order records under applicable laws.</p>

<p><strong>3.3 Grocery & Essentials Vendors</strong></p>
                                                    <p>Must protect customer purchase patterns, pricing agreements, and stock information.</p>

<p><strong>3.4 Local Stores</strong></p>
                                                    <p>Must not disclose TURTU analytics, demand data, or customer insights.</p>

<p><strong>3.5 Home Bakers</strong></p>
                                                    <p>Must protect design, recipe, customization notes, and customer instructions.</p>

<h3><strong>4. YOUR RESPONSIBILITIES AS A VENDOR</strong></h3>
                                                    <p>By agreeing to this NDA, you commit to:</p>
                                                    <ul>
                                                        <li>Keeping all confidential information strictly private.</li>
                                                        <li>Not sharing, copying, screenshotting, or forwarding any confidential information.</li>
                                                        <li>Not contacting or marketing to customers outside the TURTU platform.</li>
                                                        <li>Not using TURTU’s data, processes, or insights to build or support competing services.</li>
                                                        <li>Taking reasonable care to prevent unauthorized access by employees or others.</li>
                                                        <li>Reporting any breach to TURTU immediately at <strong>help.turtu@gmail.com</strong>.</li>
                                                    </ul>

<h3><strong>5. RESTRICTIONS</strong></h3>
                                                    <p><strong>You must not:</strong></p>
                                                    <ul>
                                                        <li>Misuse customer data for personal or business promotion</li>
                                                        <li>Share or leak any operational or order-related information</li>
                                                        <li>Reveal TURTU commissions, payouts, or internal processes</li>
                                                        <li>Export or store customer data outside the app</li>
                                                        <li>Spread or distribute confidential information to third parties</li>
                                                    </ul>
                                                    <p>Violations will result in penalties, account suspension, and legal action.</p>

<h3><strong>6. EXCEPTIONS</strong></h3>
                                                    <p>Confidential information does not include information that:</p>
                                                    <ul>
                                                        <li>Is publicly available without breach</li>
                                                        <li>Was independently obtained legally</li>
                                                        <li>Must be disclosed under law (Vendor must inform TURTU first)</li>
                                                    </ul>

<h3><strong>7. DATA PROTECTION COMPLIANCE</strong></h3>
                                                    <p>Both parties will comply with:</p>
                                                    <ul>
                                                        <li>IT Act, 2000</li>
                                                        <li>IT SPDI Rules, 2011</li>
                                                        <li>Digital Personal Data Protection Act, 2023</li>
                                                    </ul>
                                                    <p>Customer data must only be used for order fulfilment on TURTU.</p>

<h3><strong>8. TERM & SURVIVAL</strong></h3>
                                                    <p>This NDA remains valid as long as the Vendor uses TURTU.<br>
                                                    Confidentiality obligations continue for <strong>5 years</strong> after leaving the platform.<br>
                                                    Obligations relating to customer data survive <strong>forever</strong>.</p>

<h3><strong>9. BREACH & CONSEQUENCES</strong></h3>
                                                    <p>If you violate this NDA:</p>
                                                    <ul>
                                                        <li>Your vendor account may be suspended or terminated</li>
                                                        <li>TURTU may withhold pending payments</li>
                                                        <li>Legal action may be taken to recover damages</li>
                                                        <li>Vendor may be permanently banned from the platform</li>
                                                    </ul>

<h3><strong>10. GOVERNING LAW</strong></h3>
                                                    <p>This agreement is governed by the laws of India.<br>
                                                    Any dispute will be resolved through arbitration at <strong>Belagavi, Karnataka</strong>.<br>
                                                    Courts in Belagavi shall have exclusive jurisdiction.</p>

<h3><strong>11. DIGITAL ACCEPTANCE (BINDING CONSENT CLAUSE)</strong></h3>
                                                    <p>By ticking the checkbox below and clicking “I Agree”, you:</p>
                                                    <ul>
                                                        <li>Acknowledge that you have read, understood, and accepted this NDA.</li>
                                                        <li>Agree that this acceptance is legally binding under the Indian IT Act, 2000.</li>
                                                        <li>Consent that your digital acceptance holds the same force as a signed physical document.</li>
                                                        <li>Agree to comply fully with all confidentiality obligations defined in this NDA.</li>
                                                    </ul>

<p>Your continued use of the TURTU Vendor App constitutes full and unconditional acceptance of this NDA.</p>
